01Acceptance of Terms
By accessing and using Fluxintek's services, you enter into a binding agreement with us. These terms constitute a legally binding agreement between you and Fluxintek. If you do not agree to these terms, you must not use our services.
02Description of Services
Fluxintek provides technology consulting, software development, cloud infrastructure, cybersecurity, data analytics, AI solutions, and digital transformation services. The specific scope, deliverables, and timelines for each engagement will be defined in separate service agreements.
03Intellectual Property
All intellectual property created during our engagement, including but not limited to code, designs, documentation, and methodologies, shall be governed by the terms specified in individual project agreements. Fluxintek retains ownership of its proprietary tools, frameworks, and pre-existing intellectual property.
04Payment Terms
Payment terms, including rates, invoicing schedules, and payment methods, will be specified in individual service agreements. Late payments may incur interest charges and may result in suspension of services. All fees are non-refundable unless otherwise stated in writing.
05Limitation of Liability
To the maximum extent permitted by law, Fluxintek shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.
06Termination
Either party may terminate the service relationship with written notice as specified in individual agreements. Upon termination, you shall pay for all services rendered up to the termination date. Certain provisions of these terms shall survive termination.
07Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in San Francisco, California.
